Outside GC and IGT: Providing versatile legal support to a multi-billion dollar company for over a decade


Outside GC has supported the legal department of this multi-billion dollar company since 2001 by supplementing their in-house legal staff and providing senior attorneys to handle commercial transactions of all sizes, as well as intellectual property matters.


Outside GC began supporting the legal department of GTECH in 2001. In 2006, GTECH was acquired by Lottomatica S.p.A., which changed its name to GTECH S.p.A. in 2013, and in 2015, was merged with IGT, the world gaming equipment leader, to create the world’s leading end-to-end gaming company. The merged entity is called IGT, a multi-billion dollar NYSE-traded company, that operates and provides a range of services and technology products across lotteries, machine gaming, sports betting, and interactive gaming markets in North America, Asia and Europe. IGT has approximately 13,000 employees worldwide, with operating headquarters in Providence, RI, Las Vegas, NV and Rome, Italy, and its corporate headquarters in London. IGT delivers products and services to regulated public and commercial gaming operators across 100 countries on six continents with proven solutions for gaming, lottery, interactive, and social, through every channel across the spectrum, including retail, web and mobile.


Outside GC’s relationship with GTECH began in 2001 during a time of transition within the legal department. GTECH’s in house legal team turned to Bill Stone, Outside GC’s co-founder and managing partner, to leverage his significant legal and business experience, initially to provide in-house training to some of the internal legal staff. GTECH quickly became one of the earliest and largest clients of the firm, as Bill was asked to handle a range of complex international joint venture and government procurement transactions in multiple countries in Asia and Europe, as well as in several states in the US. Since then, the company has relied on Outside GC to support the evolving needs and capacity of the internal legal department.


GTECH selected Outside GC in 2001. IGT continues working with them today because Outside GC provides flexible and affordable legal services, delivered by seasoned business attorneys.

In 2001, Michael Prescott, then Deputy General Counsel of GTECH, engaged Bill Stone to train a group of junior in-house staff, allowing him to focus on other pressing matters facing the department. Following the success of the training program, GTECH asked Bill to spend more time on-site, initially to cover for a pregnant in-house attorney unable to travel to Asia, and eventually as a lead lawyer for all new market entry work in Asia, including Thailand, Sri Lanka, Vietnam, Korea and China. GTECH also entrusted Bill with handling the legal negotiation and documentation of all the contracts with its then largest customer worldwide, in a highly complex series of transactions representing over $200 million in revenue to the company.

In addition to geographic-specific assistance, GTECH’s legal department needed help managing periodic spikes in workload for its various business unit teams. Michael asked Bill to bring another member of the Outside GC team on board to help. Bill selected Lloyd Levenson, a highly skilled business lawyer, who began by supporting the commercial contract work of the video lottery team. For over ten years, Lloyd has handled a range of commercial matters and procurements, including international and domestic video lottery and casino gaming transactions.

Over the years, GTECH has engaged a number of Outside GC attorneys to handle M&A transactions, commercial agreements, corporate structuring matters and more. In 2011, Michelle Rosenberg of Patent GC, the sister firm of Outside GC, began supporting GTECH’s patent portfolio management, and together with other members of the Patent GC team, conducts a large volume of trademark searches.


Outside GC has provided versatile and affordable legal solutions for over a decade. This longstanding relationship evolved from Outside GC’s initial role as an adjunct in-house member during peak times, to a sometimes nearly full-time role, and finally to supporting the company’s lottery patent and trademark portfolio.
