Jordan Karp joined Outside GC in 2014 with over 20 years of in-house legal experience in the life sciences and technology industries. Jordan has considerable expertise with biotech-related agreements, having drafted and negotiated a wide range of operational agreements, including contract research and development agreements, clinical trial agreements, and manufacturing agreements. He has also participated in numerous strategic biotech transactions, including a $400+ million research, development and commercialization agreement with Amgen for small molecule nerve growth stimulating agents; a $100+ million commercialization and manufacturing agreement with Sanofi-Aventis for an extended release brain cancer therapeutic; a long term co-development and commercialization deal with FujiFilm for a brain imaging product; and a public $80 million merger of equals with Theraclone Sciences.
In addition to his extensive commercial and strategic contracting experience, Jordan has substantial experience with corporate finance, SEC reporting, M&A, and board governance and management. Jordan’s clients at Outside GC include Paragon Bioservices, Keryx Biopharmaceuticals, inviCRO, The FDA Group, American Gene Technologies International and Dicerna Pharmaceuticals.
Prior to Outside GC, Jordan was Senior Vice President, General Counsel & Secretary for PharmAthene, Inc., a publicly traded, biotechnology company developing medical countermeasures for the U.S. and other governments against terrorist threats. Jordan also worked as Associate General Counsel at Guilford Pharmaceuticals (now part of Eisai), a publicly traded biotech company that manufactured and marketed an FDA-approved treatment for brain cancer and had an active R&D pipeline of cancer and CNS drugs.
Jordan also has significant experience in the information technology and energy sectors. Jordan was VP & General Counsel for the competitive retail energy marketing division of Fortune 125 energy company, Constellation Energy Group (now part of Exelon Corporation), which was, at that time, the largest energy retailer in North America. Jordan also served as VP & General Counsel to Mentor Technologies, a privately-held IT education and consulting company, and Corporate Counsel in the M&A/commercial contracts group at telecommunications giant, MCI.
Following a one-year clerkship for the then chief judge of the U.S. Third Circuit Court of Appeals in Philadelphia, Jordan started his legal career at the international law firm Hogan & Hartson (now Hogan Lovells). At Hogan, Jordan’s practice focused on corporate finance and M&A, and his clients included a number of biotech companies.
Jordan received his J.D. from Yale Law School, where he was a member of the Yale Law Journal, and his B.A. in Natural Sciences from The Johns Hopkins University, where he was a Beneficial-Hodson Trust merit scholar and a member of Phi Beta Kappa. Jordan is a member of the Maryland and DC bars.
Jordan was raised in a suburb of New York City, but has lived in the Baltimore Washington area for over 20 years. Jordan is the proud father of three wonderful children - an older daughter and twin sons. When not working tirelessly for his clients, Jordan enjoys exercise, cooking, the arts, and travel.
