Trained at one of the nation's top law firms (Simpson Thacher & Bartlett), Matthew has substantial experience drafting and negotiating a wide range of commercial contracts, including master services agreements, vendor contracts, SaaS licenses, and other technology-related contracts. At Outside GC, Matthew now serves as outside counsel to a diverse set of start-ups, mid-size companies, and not-for-profit organizations.

Matthew is a strategic problem solver who understands that being an effective lawyer means helping clients achieve their business objectives in the most efficient manner possible. His  experience includes:

  • Structuring, drafting, and negotiating complex inbound and outbound content licenses, software licenses (including SaaS agreements), IT agreements, data security agreements, partnership agreements, distribution agreements, payment processing agreements, fraud management contracts, data warehousing analytics agreements, networking and telecom contracts, consulting services contracts, and other vendor contracts.
  • Drafting privacy policies and terms & conditions for client websites.
  • Working closely with clients to structure business relationships in order to minimize potential legal risk.
  • Advising on legal issues related to intellectual property, privacy, data security, and contract law.
  • Creating templates and form contracts for legal departments to use for future transactions.

Prior to joining Outside GC, Matthew spent nearly two decades working in-house as a transactional attorney for Hudson's Bay Company (the owner of Saks Fifth Avenue and other department store chains in Canada and Europe), Time Warner Cable, Sony Music, and The New York Public Library. In these positions, Matthew worked closely with clients at all levels of seniority to structure and negotiate a broad range of complex transactions. Throughout his career, his colleagues have consistently described him as a skilled negotiator who excels at using clear, concise language to draft even the most complex concepts.

Matthew received degrees from Stanford Law School, Princeton University (MA in Romance Languages), and Dartmouth College (summa cum laude, Phi Beta Kappa). He lives in New York City, where he spends his free time going to museums, reading, and writing fiction. His book of linked short stories Outside Is the Ocean won the 2017 Iowa Short Fiction Award.
