Mary-Alice Miller joins Outside GC with 20 years of general corporate, venture capital, private equity and mergers & acquisitions experience. Having run and negotiated the sale of her own technology startup, Mary-Alice also brings practical business experience that makes her a valuable business partner to her clients.
For the past three years, Mary-Alice has served as the Chief Risk Officer & General Counsel of Columbia Care Inc., a patient-centered medical marijuana healthcare company. Columbia Care is one of the largest vertically integrated medical marijuana operators in the United States. As Chief Risk Officer & General Counsel, Mary-Alice has overseen all legal, regulatory and compliance aspects of the organization, including assisting the company with several rounds of debt and equity financings and helping to take the company public on the Canadian NEO exchange. Mary-Alice has also worked closely with the business development team on negotiating partnerships, joint ventures and acquisitions.
Prior to joining Columbia Care, Mary-Alice was a Member of Outside GC where she leveraged her business experience to provide startup, growth and established companies with proactive legal risk management solutions, frequently serving as outside general counsel. Mary-Alice assisted companies, management teams and boards of directors with corporate governance matters and drafted, negotiated and assisted with structuring of a broad range of corporate transactions and agreements by working collaboratively with business teams. She frequently assisted clients with various employment matters, including agreements, equity incentive plans and policies.
Prior to Outside GC, Mary-Alice was the Founder and CEO of mosaicHUB, a media technology startup. In this role, she was responsible for both growing the business and serving as the General Counsel. This dual responsibility strengthened her ability to work closely with business partners in negotiating agreements that meet the business objectives while protecting the organization. In June of 2016, Mary-Alice successfully negotiated the sale of mosaicHUB to a large digital media company and managed the entire sale process.
Prior to mosaicHUB, Mary-Alice spent over two years at General Catalyst as General Counsel where she managed venture and growth investments, including negotiating financing documents and working closing with the finance team on funding mechanics. She also worked on various risk management initiatives and helped craft and implement more structured processes to improve transparency, reduce risk and increase efficiency.
From 2007 to 2010, Mary-Alice was Vice President, Associate General Counsel and Corporate Secretary at Fidelity where she managed a variety of corporate matters, including closing various financings, negotiating vendor contracts and confidentiality agreements, and designing employee incentive programs. She represented business units on strategic ventures, internal restructuring and compliance matters. As Corporate Secretary she prepared board and shareholder materials and was responsible for all corporate governance matters.
Prior to Fidelity, she spent over seven years at Ropes & Gray where she had a general corporate practice with a focus on transactional work. She represented venture capital and private equity firms, portfolio companies, start-up companies and well-established public companies on a variety of matters, including corporate finance, mergers and acquisitions, restructurings and employment issues.
Mary-Alice was named one of Boston Business Journal’s 2012 40 Under 40 and Mass High Tech’s 2013 Women to Watch. Mary-Alice is admitted to practice in the Commonwealth of Massachusetts. She received her J.D. from Boston College Law School, and holds a B.A., summa cum laude, in Political Science from Boston College. Mary-Alice enjoys spending time with her family, running, hiking, skiing and spending time outdoors.
