Ellen has over twenty years of experience in the software and technology sector. She has extensive experience in SaaS and other software licensing agreements with an emphasis on achieving practical, value-based resolutions to contract negotiations.
Most recently, Ellen was the General Counsel and Corporate Secretary for WorldAware, Inc., a technology-based risk management company, and its six subsidiaries through 14 years of significant growth, acquisition and international expansion. In that role, she managed acquisitions both in the US and Europe, as well as multiple ownership changes culminating in the company’s sale to Garda USA in 2020. She initially served as the sole in-house attorney and eventually became the General Counsel. As GC, she managed an international legal team and owned legal responsibility for the group of seven companies. Her remit included commercial sales support, contract negotiations for transactions over a million dollars, intellectual property protection, HR matters, leases, insurance, data privacy and compliance, partnership and reseller agreements, domestic and international acquisitions, corporate secretarial responsibilities and executive advising.
Prior to WorldAware, Ellen worked at Manugistics, Inc. as a member of the in-house legal team where she largely focused on software licensing and partnership agreements, outsourced software development agreements and tuck-in acquisitions, as well as general legal matters.
Ellen was raised in upstate New York and southeastern Michigan before returning to the East coast for college. She graduated with departmental and general honors from St. Joseph’s University in Philadelphia and earned her law degree at George Washington University School of Law in Washington, DC.
Ellen and her husband, Pat, a senior computer systems architect, have lived in Rockville, Maryland for over 19 years. They are proud of their two twenty-something children and love to spend time with their family and friends. Ellen is an avid reader with a penchant for historical murder mysteries and other genres of fiction. She loves to travel and spends as much time near the ocean as possible.
