Kari Kelly has been a Member of Outside GC since June 2009.
Kari brings a combination of legal and international business experience to her clients, given that her legal practice has focused on licensing, commercial transactions, technology transfers, intellectual property protection, corporate transactions, and general business law primarily to software and technology companies. Kari's clients at Outside GC include Nelnet, Inc. and Open Scan Technologies, Inc.
Before joining Outside GC, Kari served as in-house legal counsel at Nelnet, Inc. (NYSE: NNI) a leading education planning and education finance company that provides a comprehensive suite of products and services to education-seeking families and to the institutions that serve them. Kari played a role on the Executive Management Team of 5280 Solutions LLC, a wholly owned subsidiary of Nelnet that provides integrated software and information technology services. Prior to that, Kari was legal counsel in the Software Group of IBM, Inc., in San Jose, California where she counseled on the legal aspects of software development and commercialization, open source issues, technology transfers, employment law and post-acquisition integration issues.
Before joining IBM, Kari practiced law as an Associate in the Silicon Valley office of Mayer Brown LLP, where her practice focused on corporate transactions and commercial law. In addition, at Mayer Brown, Kari played a significant role in business development particularly for biotech and technology industries. Kari began her legal career as a Foreign Associate in a premier corporate and intellectual property law firm in Cologne, Germany.
Kari brings extensive experience in structuring licensing and professional service agreements, negotiating commercial and vendor contracts, employment law and providing general business advice to her clients. After law school, Kari spent a year studying European and German law as a Legal Fellow with the German Academic Exchange Service (DAAD), International Lawyers Program in Düsseldorf, Germany. Kari graduated with a Bachelor of Arts in French and International Affairs from the University of Colorado at Boulder and is a graduate of Golden Gate University, School of Law in San Francisco, California.
Kari grew up on a cattle ranch in the Rocky Mountains of Colorado. She enjoys cycling, yoga and loves cooking healthy foods for her daughters Anna and Audrey.
