Building on six years of Wall Street training in corporate governance, business ethics, transactions and SEC disclosure, Jim has served for more than 20 years as chief legal officer of diverse public and private international companies, providing a full range of legal services in support of both headquarters and operations. Jim's clients and colleagues routinely look to him for high output, consistent quality and creative solutions at the business/law interface. He is known for clear and pragmatic analysis, drafting, communication and negotiation. Jim's broad industry experience includes packaging & forest products, environmental services, specialty chemicals, apparel (Calvin Klein), retail business services (Kinko's, Inc.) and money transfer (Nexxar Group, Inc., a multi-national roll-up). His transactional expertise extends to M&A/Corporate Finance ($20+ billion in aggregate consideration), licensing, joint ventures and strategic alliances. Technology has been a major focus in nearly all of his assignments since 1993, including EDS outsourcing, e-commerce acquisitions, digital alliances with AOL and FedEx, the "wiring" of Kinko's, and the creation of the IT and telecommunications infrastructure for Nexxar's operations on three continents. Jim's administrative responsibilities include Legal Department management, the Corporate Secretary function, government relations, litigation management, deal management, equity incentive plans, intellectual property portfolio maintenance (patents and trademarks) and contract administration for Kinko's 1,000+ branch locations. He received his undergraduate degree from Williams College (Phi Beta Kappa, Honors in Economics) and his Juris Doctor degree from Columbia University Law School (Kent Scholar). Jim began his legal career at Breed, Abbott & Morgan in New York City.
