”After I left my last company, I turned down several offers to be General Counsel and decided to join Outside GC instead. It was the best professional decision I ever made. I have never been this happy practicing corporate law - It's amazing what a little flexibility and lifestyle can do (along with great clients and great co-lawyers)!”

Andy has been an attorney with Outside GC since 2008.

Throughout his career, Andy has provided practical and efficient legal advice and support to technology businesses of all types and various sizes, including providers of software, hardware and complex services, and both public and private, venture-backed companies. Andy's focus is on negotiation of the various agreements that affect a company's daily operations, including software licensing, delivery of product and services to technology purchasers, channel relationships, OEM and similar arrangements and agreements with vendors of various types. He also advises companies in connection with financings, mergers and acquisitions and other strategic transactions, real estate transactions, employment matters, intellectual property protection, corporate governance, and several other general business areas. Andy has extensive experience with international transactions and operations, having worked with companies doing significant business in several foreign countries.

Andy's clients at Outside GC include Crossbeam Systems, Inc., Fidelis Security Systems, Inc., Neohapsis, Inc., and WiTricity Corporation.

Andy was most recently full-time General Counsel of Crossbeam Systems, the provider of a scalable hardware platform that facilitates the consolidation and simplification of security services delivery in large networks. Andy still supports Crossbeam in this role, through Outside GC. Prior to Crossbeam, Andy was Associate General Counsel of Moduslink Corporation and its predecessor, Modus Media International, both before and after its acquisition by CMGI. Moduslink is a provider of outsourced supply chain and logistics services for hardware, software and other technology companies with extensive worldwide operations. Previously, Andy was Director of Legal Affairs for NetGenesis, a public company provider of software and related services for analysis of on-line business. Andy began his career as a corporate associate at Foley Hoag, where he represented various companies -- including start-ups, later stage and public companies, as well as venture capital firms - in a variety of transactions including formation and other start-up-specific legal matters, private financings, public offerings, M&A and other strategic transactions, and licensing, as well as with regard to various other corporate and IP-related legal matters.

Andy received his BA magna cum laude from Brown University and his JD magna cum laude from Harvard Law School.

Andy prides himself in his pragmatic approach to all legal advice and his ability to balance the practical needs of a business with appropriate legal cautions. He particularly enjoys the cross-functional role an in-house lawyer plays in a company, and appreciates the unique opportunity that Outside GC affords him to play this role across a diverse set of companies.

When he is not advising clients, Andy can be found several nights a week on the tennis court, or attempting to make something that sounds like music on the guitar. Andy lives in Weston with his wife Allison and his children Alex and Casey.
