Jamie Nemiah

Jamie recently joined the firm, having last served as CEO and General Counsel of QualityMetric Inc., a healthcare IT company specializing in outcomes assessment. 

Jamie’s practice has focused on business and corporate law for small to medium size companies. He brings a wealth of experience in negotiation and contracting, M&A, intellectual property, dispute resolution and improving efficiency in legal matters. He has advised companies in the technology space for more than 20 years and has worked in multiple industries, as well as private law practice. 

Before joining Outside GC, Jamie joined QualityMetric (now part of Ingenix Life Sciences) as General Counsel to cure legal problems that stood in the way of selling the venture-backed company and to reduce legal costs. Jamie successfully accomplished these goals while streamlining the licensing process to accelerate the sales process and improve revenue recognition. The Board of Directors then asked Jamie to add the role of CEO, in order to lead the sale process.  In this role, Jamie reduced operating costs to prepare the company for sale. He developed the offering materials, presented the opportunity to potential buyers, managed multiple bids, negotiated terms, and led his Board of Directors and stockholder group to closure.  The final sale, to a Fortune 100 Company was at a price 30% above Board expectations. 

Before that, Jamie was General Counsel and Senior Vice President of the Object Management Group, a trade association of software companies developing open software standards. At OMG, he handled all legal matters, as well as HR and insurance activities. He streamlined licensing activities, negotiated acquisitions and developed, negotiated and implemented two certification programs. 

Earlier in his career, Jamie was Senior Corporate Counsel at MatrixOne (now part of Dassault Systèmes), a publicly-traded enterprise software company, where he was responsible for all legal matters, with special emphasis on software licensing, M&A and SEC compliance. Before that, he served as Corporate Counsel at Alpha Industries (now Skyworks Solutions), a publicly-traded semiconductor manufacturer. As the senior in-house attorney, he focused on contracting, HR, SEC compliance and environmental matters. Prior to Alpha, Jamie was General Counsel at American Science and Engineering, a publicly-traded X-ray system company, and Counsel at Morse Shoe, a footwear retailer. Jamie also worked as an Associate at law firms in Washington, DC, Manchester, NH, and Boston.

Jamie is originally from Boston and he and his wife still reside there.  He received his undergraduate degree from Harvard and his law degree from Cornell.  He is a member of the Massachusetts bar.  In his spare time, Jamie enjoys a wide range of pursuits including reading in history, business, science and science fiction.  He enjoys building furniture and computers, is an avid sailor, and enjoys studying architecture.
