Carol brings both significant legal experience and a pragmatic business
perspective to her work at Outside GC. Carol was previously the general counsel
of Avid Technology, Inc., a publicly-held company and the world leader in the
development, marketing, sale and support of software and hardware products for
digital media production, management and distribution. At Avid, Carol managed
the company's legal interests, including in such areas as corporate governance,
ethics, securities and regulatory compliance, equity issuance, M&A, strategic
partnering, licensing, intellectual property protection, employment, and litigation.
Prior to joining Avid, Carol served as in-house counsel at Marcam Corporation,
a publicly-held enterprise resource planning software company. At Marcam, Carol
provided legal counsel on such matters as third-party and strategic partnering
agreements, software licenses, services contracts, real estate leases and litigation.
Carol began her legal career at the San Francisco office of the national law firm
Brown & Wood (now, Sidley Austin Brown & Wood), representing investment banking firms
in debt and equity issuances. Before attending law school, Carol worked for
several years as a business consultant in Jakarta, Indonesia, and also lived
in Tokyo, Japan. Carol was graduated magna cum laude from Claremont
McKenna College, and was awarded a juris doctor from Boalt Hall School of Law,
University of California at Berkeley, and a masters in international trade and
finance from The Fletcher School of Law and Diplomacy at Tufts University.
She has served on the Board of Directors of the Business Software Alliance,
an anti-piracy and industry advocacy group. Carol is admitted to practice
in both the Commonwealth of Massachusetts and the State of California.
