Throughout his career, Andy has provided practical and efficient legal advice and support to technology businesses of all types. As an in-house attorney, Andy has experience with a late-stage venture backed hardware/platform company, a public software company and a large international outsourced services company. Most recently, Andy has served as General Counsel of Crossbeam Systems, the provider of a scalable hardware platform that facilitates the consolidation and simplification of security services delivery in large networks. Prior to Crossbeam, Andy was Associate General Counsel of Moduslink Corporation and its predecessor, Modus Media International, both before and after its acquisition by CMGI. Moduslink is a provider of outsourced supply chain and logistics services for hardware, software and other technology companies with extensive worldwide operations. Previously, Andy was Director of Legal Affairs for NetGenesis, a public company provider of software and related services for analysis of on-line business. Andy began his career as a corporate associate at Foley Hoag, where he represented various companies -- including start-ups, later stage and public companies, as well as venture capital firms - in a variety of transactions including formation and other start-up-specific legal matters, private financings, public offerings, M&A and other strategic transactions, and licensing, as well as with regard to various other corporate and IP-related legal matters. Andy's broad experience through his various roles includes: drafting and negotiation of agreements for day-to-day business transactions of all types, including in the areas of software licensing, channel relationships, complex services provision arrangements, purchasing, and all types of partnerships; debt and equity financings; mergers and acquisitions and other strategic transactions; real estate transactions; employment matters; intellectual property protection; and corporate governance. Andy also has extensive experience with international transactions and operations, having worked with companies doing significant business in the UK, France, Germany, Ireland, The Netherlands, China, Japan, Singapore, Australia and Mexico, among other places. Andy prides himself in his pragmatic approach to all legal advice and his ability to balance the practical needs of a business with appropriate legal cautions. He particularly enjoys the cross-functional role an in-house lawyer plays in a company. Andy received his BA magna cum laude from Brown University and his JD magna cum laude from Harvard Law School.
