With over 20 years of sophisticated broad-based corporate legal experience, Matt
combines the discipline developed as a private practice attorney with the pragmatic,
entrepreneurial and commercially-oriented focus derived through in-house counsel,
senior-level management, corporate and business development roles with high-growth
technology, communication and strategic consulting companies. He brings the unique
perspective that comes from working in both legal and executive positions for both
private and public companies, from venture capital and private start-ups to global
public companies. He has significant international experience, having lived and
worked in Europe and having managed operational legal matters and transactions in
over 17 countries. Matt served eight years as Senior Vice President, General
Counsel & Secretary of VIA NET.WORKS, Inc., a NASDAQ and Euronext-listed publicly
traded Internet services and managed hosting provider, where he built a legal
group from the ground up, and supported the rapid acquisition-driven growth
of the company, its IPO, strategic repositioning and ultimate sale. At VIA,
Matt focused on M&A and financing transactions, corporate governance, compliance
and policy matters, intellectual property management and transactions, labor
and employment issues, and SEC regulatory compliance. Prior to VIA, he
served in both legal and managerial roles with MCI Communications, where,
among other roles, he supported MCI's Mass Markets' IT, product and marketing
groups, structuring and negotiating a broad range of technology transactions,
marketing alliances and partnership agreements, and providing commercial and
legal advice in the development and roll-out of new products and services.
Earlier, Matt was engaged in private practice with several firms, the last
six years of which was with the New York-based Donovan, Leisure, Newton & Irvine,
where he advised and supported clients in a broad range of corporate, transactional
and SEC matters.
